for the outreach services of evnxt · Last updated: 15 October 2026
1. Scope & Contracting Parties
These Terms apply to all contracts for outreach, digital PR and GEO/AEO services between Dominik Wojcik (wojcik.de), hereinafter the “Agency”, and businesses within the meaning of section 14 of the German Civil Code (BGB), hereinafter the “Client”. The offer is directed exclusively at businesses; no consumer transactions take place. Terms of the Client that deviate from these Terms apply only with express written consent.
2. Scope of Services
The Agency provides a managed service, in particular:
- research and assessment of suitable publishers and sources (including through automated analysis of search results and AI citations),
- creation of content (e.g. guest articles, statements, data assets),
- outreach to and negotiation with publishers in the Agency's own name,
- brokering and coordinating publications (“collaborations”),
- monitoring of brokered publications and reporting via a client portal.
The Client receives access to a portal where it can view research results, approve or reject domains, submit requests and retrieve reports. Before a collaboration is commissioned, its price is shown in the portal.
3. No Guarantee of Results
The Agency owes the diligent performance of the agreed services, but not any particular result, in particular no specific rankings, no inclusion in AI answers and no minimum number of publications. Decisions on publication rest solely with the respective publishers.
4. Remuneration: Credit Balance (Prepayment)
- Billing is generally handled through a credit account: the Client tops up a credit balance by bank transfer; the credit is applied after receipt of payment.
- Each collaboration is shown with a fixed price before it is commissioned. The price is deducted from the credit balance only when the collaboration is confirmed.
- If a confirmed collaboration does not take place or is canceled, the amount deducted is credited back to the balance.
- A collaboration can only be confirmed if the credit balance covers the stated price.
- When the contract ends, any unused remaining balance is refunded within 14 days. Credit is not transferable and does not earn interest.
- All prices are exclusive of statutory value added tax, unless stated otherwise.
Notwithstanding the above, the Agency may, at its own discretion, grant individual clients payment on invoice; in that case the payment term agreed for the respective invoice applies.
5. Client Cooperation & Approvals
The Client specifies topics, brand and target domain, provides the necessary information and promptly approves or rejects proposed publishers and content. Publishers rejected by the Client will not be contacted or pursued further. The Client warrants that the content and information it provides do not infringe any third-party rights.
6. Communication with Publishers, Labeling & Legal Compliance
Publishers are contacted individually and for business reasons from the Agency's mailboxes; mass mailings or spam are not sent, and opt-out requests are respected by the system. The respective publisher or the Client is responsible for the legally compliant labeling of publications (e.g. as advertising) and for their admissibility under press law and competition law in the context of the Client's offering; the Agency points out labeling obligations to publishers.
7. Term & Termination
The contract runs for an indefinite period and can be terminated by either party with 14 days' notice to the end of a month, unless agreed otherwise. Collaborations that have already been confirmed will still be completed or refunded (section 4). The right to terminate for good cause remains unaffected. The Client can pause research in the portal at any time.
8. Liability
The Agency is liable without limitation in cases of intent and gross negligence and for damages arising from injury to life, body or health. In cases of simple negligence, the Agency is liable only for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for this type of contract. Liability for indirect damages, lost profits and for the removal of publications by third parties is excluded to the extent permitted by law.
9. Data Protection
Personal data is processed in accordance with the Privacy Policy. In the course of research, only publicly available business contact details of publishers are processed.
10. Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the place of jurisdiction is the registered seat of the Agency. Should individual provisions be invalid, the remainder of the contract remains in effect; the statutory provision takes the place of the invalid provision.
